Terms and Conditions

The legal terms governing your use of the Bibly race registration platform — for runners and race organisers.

These Terms and Conditions (“Terms”) are a legal agreement between you and Bibly Limited (“Bibly”, “we”, “us”, “our”), a company incorporated in Hong Kong. They govern your access to and use of the Bibly race registration platform — including the websites at bibly.run and bibly.events, our mobile applications, and any related services (together, the “Service”).

By creating an account, registering for an event, listing an event, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Quick read. Bibly is a marketplace that connects runners with race organisers. Bibly is not the organiser of the events listed on the platform. Each event is run by an independent organiser whose own rules apply. Running and trail events involve real risk of injury — read Section 9 carefully.

1. Definitions

  • “Runner” — a natural person who creates a Bibly account to discover, register for, or pay for events.
  • “Organiser” — the individual or entity that lists, manages, and delivers an event through the Service.
  • “User” — a Runner or Organiser, as the context requires.
  • “Event” — any race, run, training session, or other activity listed on the Service by an Organiser.
  • “Entry Fee” — the fee set by the Organiser that a Runner pays to participate in an Event.
  • “Service Fee” — any fee charged by Bibly, whether to the Runner at checkout or deducted from Organiser payouts.
  • “Content” — text, photos, video, logos, course maps, results, comments, and any other material uploaded to or displayed on the Service.

2. Eligibility and accounts

You may use the Service only if you can form a legally binding contract under Hong Kong law. The Service is intended for users aged 13 and above; users under 18 must have the consent of a parent or legal guardian.

You agree to:

  • provide accurate, current, and complete information when creating an account;
  • keep your password confidential and secure;
  • be responsible for all activity under your account;
  • notify us promptly at hello@bibly.run if you suspect unauthorised access.

We may refuse, suspend, or terminate any account that breaches these Terms, that we reasonably suspect of fraud, or that poses a safety or compliance risk.


3. The role of Bibly (marketplace, not organiser)

Bibly provides a technology platform that allows Runners to discover and register for Events, and Organisers to list and manage their Events. Bibly is not the organiser, promoter, or operator of any Event listed on the Service unless we expressly state otherwise in writing.

This means:

  • the contract for participation in an Event is between the Runner and the Organiser;
  • the Organiser is solely responsible for the safety, conduct, course, timing, results, prizes, refunds, insurance, and overall delivery of the Event;
  • Bibly’s responsibility is limited to operating the platform, processing registrations and payments, and providing the features described on the Service.

4. Terms for Runners

4.1 Registration and entry

When you register for an Event through Bibly, you enter into a contract with the relevant Organiser, subject to the Organiser’s own event rules, course rules, age limits, qualifying requirements, and any waiver or release the Organiser requires you to sign. Bibly displays these rules as published by the Organiser; the Organiser is responsible for their accuracy.

You confirm that:

  • you are physically fit to participate;
  • the information you provide (date of birth, gender, emergency contact, medical details, etc.) is accurate;
  • you will comply with the Organiser’s rules and the instructions of race officials, marshals, and medical personnel on the day.

4.2 Bib transfers and substitutions

Entries are personal to the Runner registered. Transferring your entry, racing under another runner’s bib, or otherwise misrepresenting your identity is strictly prohibited and may result in disqualification, account suspension, and removal of results. Where an Organiser permits transfers or name changes, you must use the official transfer feature on Bibly — never an informal swap.

4.3 Fees and payment

You will pay the Entry Fee, any applicable Service Fee, taxes, and other charges shown at checkout. Payment is processed by our third-party payment processors. By providing payment details you authorise the charge.

4.4 Cancellations, refunds, and event changes

Refund policy is set by each Organiser and shown on the Event listing at the time of registration. Bibly does not guarantee refunds. Where the Organiser issues a refund, Bibly will process it back to the original payment method, less any non-refundable portion stated by the Organiser.

Bibly’s Service Fee is non-refundable except where required by Hong Kong consumer-protection law, where Bibly is at fault, or where an Event is cancelled in full and not rescheduled by the Organiser.

If an Organiser postpones, reschedules, modifies the course, or cancels an Event, the Organiser’s policies apply. Bibly will pass on Organiser communications and process refunds as instructed by the Organiser, but is not responsible for the Organiser’s decisions.

4.5 Photos, results, and media

By participating in an Event listed on Bibly, you acknowledge that the Organiser, its timing partners, and official photographers may capture and publish your image, name, finish time, and bib number for results, race reports, and event marketing. Bibly may display Event results and finisher information on the Service. You may request removal of personal results from your public Bibly profile through your account settings.


5. Terms for Organisers

5.1 Listing an Event

To list an Event on Bibly you must be either:

  • the legal entity that organises the Event; or
  • an authorised representative with binding authority to act on behalf of that entity.

By listing an Event you represent and warrant that:

  • you have all permits, permissions, insurances, and licences required to deliver the Event lawfully and safely;
  • the information you publish (date, route, distance, cut-offs, prizes, capacity, refund policy, eligibility) is accurate and not misleading;
  • you will deliver the Event substantially as advertised and notify Bibly and Runners promptly of any material changes;
  • you have the rights to all Content you upload;
  • you will comply with all applicable laws, including the PDPO, anti-discrimination law, and consumer-protection law.

5.2 Commercial terms — commission model

Bibly’s commercial model is a commission deducted from Organiser payouts. Unless we agree a different fee schedule with you in writing:

  • Runners pay the Entry Fee set by the Organiser;
  • Bibly collects the Entry Fee on the Organiser’s behalf as the Organiser’s agent for payment-collection purposes only;
  • Bibly retains a commission (the “Commission”) equal to the percentage rate set out in the Organiser dashboard or in a separate written agreement with you, plus payment-processor fees and any taxes;
  • Bibly remits the net proceeds (Entry Fees minus Commission, processor fees, applicable taxes, refunds, and chargebacks) to the Organiser’s nominated bank account on the payout schedule shown in the dashboard, typically after the Event has taken place.

Bibly may change the standard Commission rate by giving Organisers at least 30 days’ prior notice. The new rate will apply only to Events listed after the change takes effect.

5.3 Refunds, chargebacks, and disputes

The Organiser sets the refund policy for each Event and is responsible for honouring it. Where Bibly is required to issue a refund or absorbs a chargeback that is the Organiser’s responsibility (e.g. due to event cancellation, misrepresentation, or failure to deliver), Bibly may:

  • offset the amount against the Organiser’s next payout;
  • invoice the Organiser for the shortfall, payable within 14 days; and/or
  • recover the amount as a debt due to Bibly.

Bibly’s Commission and processor fees on a refunded transaction are not returned to the Organiser unless we agree otherwise in writing.

5.4 Participant data

Bibly will share with Organisers only the participant data necessary to deliver the Event (start list, contact details, emergency contacts, declared medical information, T-shirt size, etc.). Organisers act as data users under the PDPO in respect of that data and must:

  • use it only to deliver and administer the Event and fulfil legal obligations;
  • protect it with appropriate security measures;
  • delete or anonymise it once it is no longer needed (subject to legal retention obligations);
  • not use it for direct marketing without the Runner’s separate consent;
  • comply with their own privacy notice.

5.5 Insurance and permits

Organisers must hold appropriate public liability insurance and any participant accident cover required by law or by the venue/route authority, and must produce evidence on Bibly’s request. Bibly does not provide insurance for participants in third-party Events.

5.6 Suspension and removal of listings

Bibly may suspend, hide, or remove an Event listing — and withhold payouts pending review — where we reasonably believe the Organiser has breached these Terms, the Event poses a safety or legal risk, or there is a credible dispute or fraud signal. We will notify the Organiser and act in good faith to resolve the issue.


6. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose or in breach of any applicable law;
  • impersonate any person, misrepresent your affiliation, or provide false information;
  • circumvent fees, payment flows, or technical protection measures;
  • upload Content that is defamatory, obscene, infringing, hateful, or harmful;
  • harvest, scrape, or otherwise extract data from the Service except via features we expressly provide;
  • introduce malware, attempt to gain unauthorised access, or interfere with the Service’s operation;
  • use the Service to harass, threaten, or abuse another User or Bibly staff.

We may investigate suspected breaches and take action including warnings, content removal, suspension, termination, and reporting to law enforcement.


7. Content and intellectual property

7.1 Your Content

You retain ownership of Content you upload. You grant Bibly a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, modify (for formatting only), display, and distribute your Content solely for the purposes of operating, promoting, and improving the Service. The licence ends when you remove the Content, except for copies retained for legal, audit, or backup purposes.

You represent that you own or have all necessary rights in the Content you upload and that it does not infringe any third party’s rights.

7.2 Bibly’s intellectual property

The Service, the Bibly name, the bibly logo, the slogan “Bib. Run. Repeat.”, the hashtag #BibRunRepeat, and all related branding, software, design, and content created by Bibly are owned by Bibly Limited and protected by copyright, trade mark, and other intellectual-property laws. Nothing in these Terms transfers any of those rights to you.

7.3 Feedback

If you send us suggestions, ideas, or feedback, you agree we may use them without obligation or compensation.


8. Third-party services

The Service may integrate with third-party services (Stripe, Google, Facebook, Strava, Apple, mapping providers, and others). Your use of those services is governed by their own terms and privacy policies. Bibly is not responsible for third-party services and their inclusion does not imply endorsement.


9. Health, fitness, and assumption of risk

Running, trail running, and other endurance activities involve real and inherent risks — including but not limited to physical injury, illness, exhaustion, hyponatraemia, heat stroke, hypothermia, falls, road-traffic incidents, course conditions, weather, and, in rare cases, death.

By registering for an Event through Bibly, you:

  • represent that you are physically fit and have no medical condition that would make participation unsafe;
  • assume all risks associated with participation, training for, and travelling to and from the Event;
  • agree to the waiver, release, and assumption-of-risk terms required by the Organiser;
  • understand that Bibly is a registration platform only and does not assess your fitness or the suitability of any Event for you.

We strongly recommend you consult a qualified medical professional before participating, train appropriately, and follow the safety instructions of the Organiser, marshals, and medical staff.


10. Disclaimers

To the maximum extent permitted by law:

  • the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement;
  • Bibly does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or harmful components;
  • Bibly does not warrant the conduct, safety, accuracy, quality, or legality of any Organiser, Event, Runner, or Content posted by Users.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under Hong Kong law, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.


11. Limitation of liability

To the maximum extent permitted by law:

  • Bibly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of the Service;
  • Bibly’s aggregate liability to you in connection with the Service in any 12-month period will not exceed the greater of (a) HK$1,000 or (b) the total fees you paid to Bibly in that 12-month period;
  • Bibly is not responsible for the acts or omissions of any Organiser, Runner, or third-party service provider.

These limits apply whether the claim is in contract, tort (including negligence), statute, or otherwise.


12. Indemnity

You agree to indemnify, defend, and hold harmless Bibly, its directors, officers, employees, contractors, and agents from and against all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • your use of the Service;
  • your breach of these Terms or any law;
  • your Content or the Events you organise (if you are an Organiser);
  • your participation in any Event (if you are a Runner).

13. Termination

You may close your account at any time from your settings or by emailing hello@bibly.run.

We may suspend or terminate your access to the Service immediately, without notice, if we reasonably believe you have breached these Terms, your account presents a security or legal risk, or your continued use would harm Bibly or other Users.

On termination, your right to use the Service ends. Sections that by their nature should survive termination — including Sections 1, 7.2, 9, 10, 11, 12, 13, 14, and 15 — will survive.


14. Changes to the Service and to these Terms

We may add, modify, or remove features of the Service at any time without liability, including for maintenance, security, or legal reasons.

We may update these Terms from time to time. Where changes are material we will give reasonable notice — by email, in-app notice, or a banner on the Service — at least 14 days before they take effect (or sooner if required by law). Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and may close your account.


15. Governing law and disputes

These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of the Hong Kong Special Administrative Region.

Each party submits to the exclusive jurisdiction of the courts of Hong Kong to resolve any dispute, except that Bibly may bring proceedings in any other jurisdiction to protect its intellectual property or to recover money owed.

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force.


16. General

  • Entire agreement. These Terms, together with our Privacy Policy and any Event-specific rules or written agreements, are the entire agreement between you and Bibly.
  • No waiver. Our failure to enforce any right is not a waiver of that right.
  • Assignment. You may not assign these Terms without our written consent. Bibly may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • No third-party beneficiaries. No one other than you and Bibly has any rights to enforce these Terms.
  • Notices. We send notices to the email on your account. You send notices to legal@bibly.run.
  • Contracting party. Your contract is with Bibly Limited, a company incorporated in Hong Kong, registered office: [Hong Kong address — to be added].
